B2B terms of service
Last updated 23 July 2026. Version 2026-07-23-b2b-v1. Business customers only.
1. Parties and business-only eligibility
Render Roll is operated by XO3D Ltd, company number 11876020, registered office 1 Beauchamp Court, 10 Victors Way, Barnet, Hertfordshire EN5 5TZ. "We", "us" and "Render Roll" mean XO3D Ltd. "Customer" and "you" mean the business named in the confirmed scope. You confirm that you act for that business, have authority to bind it and acquire the services wholly for business purposes. We do not accept consumer orders through Render Roll. If you are acting mainly outside a trade or profession, do not submit or pay.
2. Contract documents and priority
The contract consists of the written order confirmation, the confirmed scope, these terms and any document expressly incorporated by the confirmed scope. If they conflict, that is their order of priority. Purchase-order terms or other customer terms do not apply unless we expressly accept them in writing. Headings do not affect interpretation.
3. Enquiry, quote and contract formation
- Website descriptions, estimates and from-prices are information only and are not an offer.
- We review the business evidence, representative files, model status, quantities, delivery assumptions and tax treatment before issuing a confirmed scope.
- The confirmed scope identifies the reference, deliverables, quantities, included revisions, price, currency, tax treatment, payment terms, delivery plan, terms version and expiry date.
- You approve the confirmed scope in writing. A private Stripe link is issued only after our order record shows the business, model, scope, tax and terms gates as approved.
- By paying, you confirm the approved scope and accept the terms version displayed at Stripe checkout. A contract forms only when payment succeeds and we send written order confirmation. If we cannot accept the order after payment, we refund the payment in full.
4. Prices, currency and tax
Website prices exclude VAT and other applicable taxes unless clearly stated. The confirmed scope controls the commercial amount and billing currency. You must provide an accurate billing country and adequate evidence that you are in business, such as a company or tax registration. We determine the payment treatment from that evidence and the applicable place-of-supply rules. UK VAT or another applicable tax may be added. Where a reverse charge or customer-accounted tax applies, you are responsible for the required local reporting. If information is incomplete or inconsistent, no payment link is issued. Any supported local payment method or exchange information shown by Stripe does not change the confirmed billing currency. Refunds are made through the original payment route and currency, subject to provider processing and exchange-rate effects outside our control.
5. Customer responsibilities
You must provide accurate scope information, usable files, consolidated feedback, authorised contacts and decisions by the dates in the confirmed scope. You warrant that you own or have permission to use all supplied products, models, designs, trademarks, artwork and data, and that our permitted use will not infringe rights or law. You must not submit malware, unlawful or deceptive content, regulated personal data, controlled technology or material restricted by sanctions or export law. You remain responsible for product accuracy, safety claims, legal labelling and retaining your own source backups.
6. File validation and security
A file upload is not technical approval. We may quarantine, reject or request replacement files. Drawings and photographs do not replace a usable 3D model unless modelling is separately included. Private download links are confidential and must not be forwarded. Quote-stage uploads expire after 30 days unless an earlier deletion is requested or a production transfer is agreed.
7. Delivery, review and acceptance
Delivery dates are estimates until stated in the confirmed scope and depend on timely customer inputs. We may deliver large orders in batches. Included revision rounds are only those stated in the confirmed scope. A correction fixes our failure to match the approved scope; a changed instruction, new asset, new viewpoint, altered product, late consolidated feedback or reopened approved item is a scope change and may change price and timing. You must review each delivery and provide one consolidated response within five business days unless the scope states another period. If no material scope mismatch is reported within that period, the delivery is treated as accepted. This does not remove a remedy for a hidden defect that could not reasonably have been found during review.
8. Changes, cancellation and refunds
Either party may propose a written change. It applies only when price and timing are agreed. You may cancel in writing. We may retain payment for work completed and non-cancellable third-party costs, and will refund any remaining unused prepaid balance. We may pause work for overdue inputs or payment. We may terminate for material breach that is not corrected within a reasonable written cure period, or immediately for illegality, sanctions risk, fraud, insolvency or security abuse. Accepted completed work is not refundable merely because it is no longer required. Nothing limits a refund or repeat-performance remedy for our proven material breach.
9. Intellectual property
You retain rights in material you supply and grant us a limited licence to validate, produce, deliver and support the order. After full payment, you receive a worldwide, perpetual licence to use the final delivered images for the business's own sales, marketing, retailer, marketplace and agency channels, unless the confirmed scope grants a wider transfer. Our production methods, templates, software, generic assets, working files and underlying source models remain ours unless the confirmed scope expressly transfers them. Third-party assets remain subject to their licences. We use finished work publicly only with permission.
10. Confidentiality
Each party must protect the other's confidential business information, use it only for the contract and disclose it only to personnel and providers who need it and are bound to protect it. This does not cover information already lawfully known, public through no breach, independently developed or required to be disclosed by law. The duty continues for five years after the order, and without time limit for trade secrets while they remain trade secrets. A separate signed NDA takes priority where it conflicts.
11. Service standard and dependencies
We perform the service with reasonable care and skill. Visual output depends on supplied geometry, references, colour management and display conditions. Unless expressly guaranteed in the confirmed scope, we do not guarantee marketplace approval, sales performance, search ranking, exact physical colour on every display or compatibility with an unspecified downstream system. Each party must take reasonable steps to reduce avoidable loss.
12. Liability
Nothing excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, breach of confidentiality, infringement of the other party's intellectual property rights, or any liability that law does not allow to be excluded. Subject to that, neither party is liable for indirect or consequential loss, loss of profit, revenue, anticipated savings, goodwill or business opportunity. Our total aggregate liability arising from an order is limited to 150 percent of the fees paid or payable for that order. For an ongoing service, the cap is 150 percent of the fees paid or payable in the 12 months before the event giving rise to the claim. These limits reflect the service price and B2B risk allocation.
13. Events outside reasonable control
Neither party is liable for delay caused by an event outside its reasonable control, provided it promptly notifies the other party and takes reasonable steps to reduce the effect. Payment obligations for completed work are not excused. If the event continues for more than 30 days and materially prevents delivery, either party may end the affected scope and any unused prepaid balance will be refunded after deducting completed work and unavoidable costs.
14. Data protection
Each party complies with applicable data-protection law for the information it controls. Our handling of business-contact and project data is described in the privacy policy. The customer must not place unnecessary personal data in project files and must have a lawful basis for any personal information it asks us to process.
15. General
Neither party may assign the contract without the other's written consent, except that we may assign it as part of a genuine sale or reorganisation of the business. We may use vetted subcontractors while remaining responsible for the contracted service. A delay in enforcing a right is not a waiver. If a term is invalid, the rest remains effective. No person other than the parties has rights under the Contracts (Rights of Third Parties) Act 1999. Notices about breach, termination or legal claims must be sent by email and to the registered office or business address in the confirmed scope.
16. Disputes and governing law
The parties will first try in good faith to resolve a dispute through authorised senior contacts for at least 14 days. Either party may seek urgent protective relief at any time. The contract and non-contractual disputes are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
